1. Acceptance of Terms
Welcome to Retail AI. By accessing or using our platform, website, API, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Services. These Terms constitute a legally binding agreement between you and Retail AI (operated by Avantea Technologies). We reserve the right to modify these Terms at any time; continued use of the Services after changes constitutes acceptance.
2. Eligibility & Accounts
You must be at least 18 years old and have the legal capacity to enter into contracts. You may register as an individual or on behalf of an organization. You are responsible for maintaining the confidentiality of your account credentials, API keys, and for all activities that occur under your account. Retail AI is not liable for any loss or damage arising from your failure to comply with this obligation.
3. Description of Services
Retail AI provides a cloud-based computer-vision platform for retail shelf auditing and product detection. Our Services include image ingestion, AI-powered object detection, SKU recognition, analytics dashboards, API access, and credit-based billing. We do not guarantee 100% detection accuracy; results should be used as a decision-support tool, not as a sole source of truth for inventory or compliance.
4. Acceptable Use Policy
You agree not to use the Services to: (a) upload or process images containing illegal, obscene, defamatory, or infringing content; (b) reverse-engineer, decompile, or attempt to extract our AI models or source code; (c) abuse API rate limits or circumvent credit billing; (d) interfere with or disrupt the integrity or performance of the platform; (e) access data not intended for you. Violations may result in immediate account suspension and forfeiture of credits.
5. Credits & Billing
Services are provided on a pay-as-you-go credit basis. One credit generally corresponds to one processed image, but credit costs may vary by resolution and plan tier as specified in your dashboard. Credits are non-refundable except where required by law. All fees are exclusive of taxes; you are responsible for any applicable VAT, sales tax, or withholding tax. Payments are processed via PayPal or cryptocurrency (Binance Pay / USDT) as selected at checkout.
6. Data Storage & Retention
Uploaded images and inference results are stored in encrypted object storage (S3-compatible) for a default retention period of 90 days, after which they may be automatically purged unless you have an active Enterprise plan with extended retention. You retain ownership of your original images; we retain ownership of derived analytics, aggregated statistics, and model improvements trained on anonymized data. You may request early deletion of your data via the dashboard or by emailing support@retail-ai.shop.
7. Intellectual Property
All software, trademarks, logos, AI models, and platform content are the exclusive property of Retail AI or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works of our platform without express written consent.
8. API Keys & Integrations
API keys are provided for programmatic access. You are responsible for securing your keys. Any usage under your API key is your financial responsibility. We reserve the right to revoke or rotate keys if we detect abuse, security risks, or violation of these Terms. Keys should never be committed to public repositories or exposed in client-side code.
9. Limitation of Liability
To the maximum extent permitted by law, Retail AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, or goodwill. Our total aggregate liability shall not exceed the total amount you paid to Retail AI in the 12 months preceding the claim. The platform is provided “as is” without warranties of any kind, either express or implied.
10. Termination
You may terminate your account at any time from the dashboard settings. We may suspend or terminate your access immediately if you breach these Terms, abuse the Services, or create legal risk for us. Upon termination, your right to use the Services ceases immediately; any outstanding credits are forfeited unless otherwise required by law.
11. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Retail AI is registered, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration in English.
